We are looking for a Legal Counsel specialized in Corporate Governance to join our dynamic Legal & Compliance team.In this strategic role, you will be in charge of all corporate governance matters across Zentiva Group entities You will work closely with senior leadership, governance committees, and cross-functional teams to ensure our governance framework remains robust, compliant, and aligned with best practices.In this role you will:

Provide legal guidance and expertise related to corporate governance matters of Zentiva Group entities and investor governance committees.
Develop and update corporate documents, governance policies, and procedures to reflect changes in regulations, best practices, and business needs.
Identify and assess legal and compliance risks, especially those related to corporate governance, and propose strategies to mitigate them.
Ensure governance aspects are considered during mergers, acquisitions, divestitures, and support restructuring and transformation projects with legal expertise.
Lead or contribute to special projects in the areas of legal, compliance, and sustainability

To be successful in this role you will need:

Around 7 years of experience
Proven experience in corporate governance law, ideally within a multinational and regulated environment.
Strong understanding of corporate structures, governance frameworks, and legal risk management.
Ability to navigate complex legal landscapes and provide clear, actionable advice to stakeholders.
High level of independence
Excellent communication and drafting skills in English.
A collaborative mindset and a proactive approach to problem-solving.
